RTPR has advised private equity fund MidEuropa on the Romanian law aspects of the sale of Regina Maria Group, including MediGroup Serbia, to Mehiläinen, Finland’s largest private healthcare and social care provider, in what is considered the largest healthcare transaction ever completed in Central and Eastern Europe.
RTPR has advised MidEuropa, one of the leading private equity investors in Central and Eastern Europe, on the Romanian law aspects of the completion of the sale of Regina Maria Group to Mehiläinen. The transaction, signed in March 2025, represents the largest healthcare transaction in Central and Eastern Europe to date.
Regina Maria Group is one of the most important integrated private healthcare networks in Romania, providing a broad range of outpatient medical services across multiple specialties, as well as hospital services. The group serves more than 3 million patients annually through a network of over 400 medical units. The transaction also includes MediGroup, the leading private healthcare provider in Serbia.
The mandate was handled by a multidisciplinary RTPR team of 29 lawyers, supervised by Managing Partner Costin Tărăcilă. The transactional phase was coordinated by Roxana Ionescu (Partner) and Marina Fechetă-Giurgică (Senior Associate), with the support of David Mirea and Iulia Călin (Junior Associates) during the period between signing and closing. Roxana Ionescu also led the competition law aspects of the transaction.
Alina Stăvaru (Partner) and Marina Fechetă-Giurgică advised on the negotiation of management incentive and remuneration packages, while Cosmin Tilea (Partner), Andreea Nedeloiu (Counsel) and Georgiana Veriveș (Associate) provided advice on the financing aspects of the transaction.
